Rosetta Stone Tumbles 11% on Q4 Sales Miss

March 12, 2015 By Clayton Meason

Rosetta Stone is trading more than 11% lower on Thursday, just shy of its 52-week low of $7.42 after reporting disappointing Q4 results after the close on Wednesday.

RST Q4 sales were $79.2 million, below the Capital IQ estimate for $81.33 million. Net loss per share widened to $1.01 from a loss of $0.18 a year ago. Estimates, usually less items, were for a $0.09 loss.

It says it is refocusing its corporate strategy and realigning resources around its Global E&E segment. This will include cutting global non-E&E headcount approximately 15%, resulting in annual expense reductions of approximately $50 million. These actions will result in an estimated $7 million charge in Q115. It also recorded a non-cash charge of $18.0 million in Q414 to impair the carrying value of goodwill associated with the NA Consumer segment. Shares of RST were last trading at $8.44 with a 52-week range of $7.42 to $12.32.

United Technologies to Explore Strategic Options

March 12, 2015 By Helen Bradford

Shares of United Technologies Corp. climbed nearly 2% Thursday morning after the aerospace and defense company said late Wednesday it will review strategic alternatives for its Sikorsky aircraft business, including a possible spin off.

President and CEO Gregory Hayes said the company is considering whether a spin off of the unit “would allow United Technologies to better focus on providing high-technology systems and services to the aerospace and building industries.”

The strategic review should be concluded before the end of the year, UTX said, noting that a specific timetable has not been set and that a spin off or other transaction is not guaranteed.

UTX will discuss its plan to review strategic alternatives on the maker of Black Hawk and other helicopters at its annual investor meeting at 1:00 p.m. ET on Thursday.

The unit generated approximately $7.5 billion of UTX’s total sales of $65 billion in 2014, the Associated Press noted.

UTX was up 1.8% at $120.44 in recent morning trade, moving near the top end of the 52-week range of $97.30 to $124.45.

Targa Resources Slips

March 12, 2015 By Clayton Meason

Targa Resources shares slipped Thursday after the limited partnership with a portfolio of midstream-energy assets priced an underwritten public offering of nearly 3.3 million shares of its common stock at $91.00 per share, a 3.6% discount to the stock’s Wednesday closing price, for expected net proceeds of about $292.3 million.

TRGP was down 2% at $92.50 recently, in a 52-week range of $82.09 to $160.97. The Company granted the underwriter a 30-day option to purchase up to an additional 487,500 shares of common stock. If the option is exercised in full, net proceeds would be about $336.2 million.

The offering is expected to close on or about March 17. The company intends to use the net proceeds to repay a portion of the outstanding borrowings under its credit facility, to make a capital contribution of approximately $53.0 million to Targa Resources Partners LP, to maintain its 2% general partnership interest in the partnership, and for general corporate purposes.
